1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Mirevue websites, products, and services (collectively, the "Service"). Mirevue is a platform operated by Guidemode Limited, a company registered in England and Wales (company number 16839248), with its registered office at The Old Post Office, 41-43 Market Place, Chippenham, Wiltshire, SN15 3HR. By accessing or using the Service, you agree to be bound by these Terms.
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
2. Definitions
- "Terms" refers to these Terms of Service.
- "Mirevue" refers to the Mirevue platform and related services.
- "User" refers to any individual who accesses or uses the Service.
- "Customer" refers to any individual or entity that subscribes to a paid Service level.
- "Agreement" or "Contract" refers to these Terms together with any applicable order form or subscription agreement.
- "Service" refers to all Mirevue products, software, websites, and related services.
- "Service Level" refers to the tier of service selected by the User or Customer.
- "Website" refers to mirevue.com and all associated subdomains.
- "You" / "Your" refers to the User or Customer accessing the Service.
- "Customer Content" refers to all data, information, and materials uploaded, submitted, or transmitted by You through the Service.
- "We" / "Our" refers to Guidemode Limited, the operator of Mirevue.
- "Company" refers to Guidemode Limited (company number 16839248), contactable at mirevue@guidemode.dev.
- "Use" / "Using" / "Usage" refers to any access to, interaction with, or utilisation of the Service.
3. Usage Rules
By using the Service, you agree to:
- Use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
- Maintain the security of your account credentials and promptly notify us of any unauthorised access.
- Not use the Service in any way that could damage, disable, or impair the Service or interfere with other users.
- Not attempt to gain unauthorised access to any part of the Service, other accounts, or systems.
- Comply with any additional guidelines or policies we publish regarding specific features.
4. Access to the Service
Mirevue is provided as a hosted (cloud) service that we maintain on your behalf. The specific plans, features, and any applicable fees are as described at the point of sign-up or as agreed in your subscription or order form. Unless otherwise agreed in writing, the Service is provided on the terms set out in this document.
5. Agreement Terms
Your subscription begins on the date of purchase (or, for any no-cost access, the date you begin using the Service) and continues for the subscription period selected. Paid subscriptions automatically renew unless cancelled before the end of the current billing period.
6. Cancellation Policy
Subscription Cancellation
You may cancel your subscription at any time through your account settings or by contacting mirevue@guidemode.dev. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew.
Refund Process
Any refund requests should be sent to mirevue@guidemode.dev. Where a refund is approved, it will be processed within 10 business days to the original payment method.
7. Privacy
Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.
8. Customer Content and Content Ownership
You retain all rights, title, and interest in your Customer Content. By using the Service, you grant us a limited, non-exclusive licence to process, store, and display your Customer Content solely as necessary to provide the Service.
We do not claim ownership of your Customer Content. We will not access, use, or share your Customer Content except as required to operate and improve the Service, or as required by law.
You are solely responsible for the legality, reliability, and appropriateness of your Customer Content. You represent and warrant that you have all necessary rights to upload and use your Customer Content with the Service.
9. Identity
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for all activity that occurs under your account. You must not impersonate any person or entity, or misrepresent your affiliation with any person or entity.
10. Reverse Engineering
You shall not reverse engineer, decompile, or disassemble any part of the Service, including but not limited to infrastructure configurations, proprietary components, and deployment tooling, except to the extent expressly permitted by applicable law.
11. Restrictions
You agree not to:
- Allow use by anyone under the age of 13.
- Upload, store, or process data that you do not have authorisation to use.
- Use automated tools to scrape, crawl, or extract data from the Service without prior written consent.
- Use the Service to transmit malware, spam, or any harmful content.
- Resell, redistribute, or sublicence the Service without authorisation.
- Circumvent, disable, or interfere with security features of the Service.
- Use the Service to compete directly with Mirevue without disclosure.
- Engage in any activity that disrupts or places an unreasonable burden on the Service infrastructure.
12. Intellectual Property
All software, content, design, and branding comprising the Service are the property of Guidemode Limited or its licensors and are protected by applicable intellectual property laws. All rights not expressly granted to you under these Terms are reserved.
The Mirevue name, logo, and branding are trademarks of Guidemode Limited. You may not use these marks without prior written permission, except as necessary to refer to the Service in a descriptive capacity.
13. No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Your use of the Service is at your sole risk.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GUIDEMODE LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.
Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless Guidemode Limited from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your Customer Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
16. Non-Disclosure
Each party agrees that any confidential or proprietary information disclosed by one party to the other in connection with the Service shall be kept confidential and shall not be disclosed to any third party without prior written consent. This obligation of confidentiality shall survive termination of these Terms for a period of three (3) years.
Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of confidential information; or (d) is required to be disclosed by law.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
